By accessing or using BangladeshApparel.com, creating an account, submitting an enquiry, uploading company information or otherwise using the platform, you agree to these Terms to the extent applicable to your use.

If you use the platform on behalf of a company or other organisation, you confirm that you have authority to act on its behalf.

If you do not agree to these Terms, you should not create an account or use services requiring acceptance of them.

Users must provide information that is reasonably accurate, current and complete when creating or maintaining an account.

• You are responsible for safeguarding your password and account credentials.
• You must not knowingly allow unauthorised persons to use your account.
• You should notify Bangladesh Apparel promptly if you suspect unauthorised access or compromise.
• You must not create accounts using false identities or impersonate another person or organisation.
• Bangladesh Apparel may require additional verification where reasonably necessary for security or marketplace integrity.

Factories, suppliers and other businesses are responsible for information they submit about their organisation, capabilities, products, services, certifications, locations, prices, quantities, lead times or other commercial matters.

Information should not be false, misleading, deceptive, unlawfully copied or presented in a manner likely to confuse buyers or other users.

Bangladesh Apparel may moderate, restrict, correct the presentation of, suspend or remove content where reasonably necessary to protect users, enforce platform rules or comply with law.

Some businesses may be shown with a verification status or badge after Bangladesh Apparel reviews information or documentation submitted through the platform.

Buyers remain responsible for conducting appropriate commercial, technical, compliance and financial due diligence before entering into any transaction.

Trade licences, registration documents, certificates and other records submitted for verification must be genuine and must not be fraudulently altered.

Verification documents are intended for private administrative review and are not intended to be publicly displayed unless the business separately supplies information that is appropriate for public publication.

Bangladesh Apparel may request additional information or decline, suspend or withdraw verification where supplied information is incomplete, inconsistent, misleading or cannot reasonably be verified.

Buyers may submit sourcing requirements and enquiries through Bangladesh Apparel.

Bangladesh Apparel may review suitable enquiries and may forward relevant commercial information to appropriate factories, suppliers or other companies.

Buyer names, companies, email addresses and private messages are not intended to be published on the public Buyer Interest Wall. The public wall may display limited commercial information such as country or market, category, subcategory, quantity, target price, date and status.

Submission of an enquiry does not guarantee that a suitable supplier will be found, that an enquiry will be forwarded, or that a commercial transaction will result.

Unless Bangladesh Apparel expressly agrees otherwise in writing, commercial negotiations and resulting contracts are made directly between the relevant buyer and seller, factory, supplier, logistics provider or other business.

Users are responsible for agreeing matters including:

• product specifications and quality standards;
• samples and approvals;
• quantity and tolerances;
• pricing and currency;
• payment terms;
• Incoterms and delivery obligations where applicable;
• inspection and testing;
• shipping, freight and insurance;
• customs, duties and taxes;
• compliance and certification requirements;
• delivery dates and remedies for delay; and
• governing law and dispute arrangements for their contract.

Users should read the separate Payment Safety guidance before entering into a transaction.

Bangladesh Apparel will never require a user to disclose an account password or one-time password through another user's marketplace message.

Users must exercise caution when receiving requests to change bank details, make urgent payments, transfer money to an unfamiliar account, disclose credentials or communicate outside normal business channels.

Suspected phishing, impersonation, spam or fraudulent activity should be reported to:

You must not use Bangladesh Apparel to:

• commit or facilitate fraud;
• send phishing messages, malware or deceptive links;
• send unlawful or abusive spam;
• impersonate another person, factory or organisation;
• publish knowingly false or misleading information;
• upload forged or fraudulently altered documents;
• infringe intellectual property rights;
• harass, threaten or unlawfully discriminate against others;
• attempt to gain unauthorised access to accounts, systems, databases or protected information;
• scrape, probe, attack or disrupt the platform in an unauthorised manner;
• use the service for activities prohibited by applicable law; or
• circumvent verification, security or access-control measures.

Users retain responsibility for content and materials they upload and must have the necessary rights or permissions to publish them.

By submitting content for public display, you grant Bangladesh Apparel a non-exclusive licence to host, reproduce, resize, format and display that content as reasonably necessary to operate and promote the relevant marketplace listing or service.

Bangladesh Apparel branding, original site design, platform content and other materials owned by MBN Continental (UK) Ltd may not be copied or commercially exploited without permission, except where permitted by law.

Certain catalogue, concept or country-specific images on Bangladesh Apparel may be illustrative, digitally produced or AI-generated visual references.

Such images are intended to demonstrate product-development possibilities and do not necessarily represent an existing physical sample, production order or particular factory's manufactured goods.

Buyers should obtain actual samples, technical specifications, measurements, fabric details, test reports and other appropriate confirmations before placing an order.

Bangladesh Apparel may contain links to third-party websites, payment providers, logistics companies, manufacturers, social networks or other external services.

Unless expressly stated otherwise, third-party services operate independently and are subject to their own terms, privacy policies and commercial arrangements.

A link or listing does not by itself constitute an endorsement or guarantee.

We aim to maintain a reliable service, but continuous or error-free availability cannot be guaranteed.

We may maintain, update, modify, suspend or discontinue features where reasonably necessary for security, legal compliance, performance, commercial reasons or platform development.

Where practicable, significant changes affecting registered users will be communicated appropriately.

Bangladesh Apparel may restrict, suspend or terminate an account or listing where reasonably necessary, including where:

• these Terms are materially breached;
• fraudulent or misleading information is supplied;
• verification documents appear false or manipulated;
• there is suspected phishing, malware or serious abuse;
• security or other users may be at risk;
• required fees remain unpaid where applicable; or
• restriction is required by law or lawful authority.

Where appropriate and reasonably practicable, we may provide an opportunity to clarify or remedy an issue before permanent termination.

Buyers and businesses must exercise appropriate commercial judgement and due diligence.

In particular, users should independently verify counterparties, product specifications, samples, certifications, trade licences, factory capacity, compliance information, banking details, shipping arrangements and contractual terms before committing to a transaction.

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot legally be excluded or restricted.

Subject to that qualification, Bangladesh Apparel is not a party to contracts made directly between independent buyers, sellers, factories, suppliers, logistics providers or other marketplace participants unless expressly agreed otherwise in writing.

Accordingly, Bangladesh Apparel is not responsible for the independent performance of another user's commercial contract, including manufacturing quality, quantity, delivery, payment, insolvency, shipping, inspection, customs or other contractual obligations of that user.

To the extent permitted by applicable law, MBN Continental (UK) Ltd will not be liable for indirect or consequential commercial losses arising solely from transactions independently entered into between marketplace users where Bangladesh Apparel is not a contracting party.

Nothing in these Terms is intended to exclude liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability which cannot lawfully be excluded.

To the extent permitted by law, a business user may be responsible for losses, claims or reasonable costs caused by its own unlawful content, fraudulent conduct, infringement of third-party rights or material breach of these Terms.

Personal information is handled in accordance with the Bangladesh Apparel Privacy & Data Protection Policy and applicable data protection requirements.

Users must not misuse personal information obtained through the platform, including for unsolicited marketing, harassment, phishing or unauthorised disclosure.

Marketplace businesses remain responsible for determining and complying with their own tax, VAT, customs, export, import, product, labour, environmental and other regulatory obligations.

Bangladesh Apparel does not provide individual tax, customs, legal or regulatory advice through ordinary marketplace listings.

Users experiencing a platform-related issue should contact Bangladesh Apparel so that the matter can be reviewed.

Bangladesh Apparel may assist communication between marketplace participants where appropriate, but is not automatically an arbitrator, court, debt collector or guarantor of privately negotiated contracts.

These Terms and your use of Bangladesh Apparel are governed by the laws of England and Wales, subject to any mandatory law that applies and cannot lawfully be excluded.

The courts of England and Wales will have jurisdiction in relation to disputes concerning these Terms, subject to any mandatory jurisdictional rights that apply.

Buyers and sellers are free to agree separate governing-law and dispute-resolution provisions for contracts made directly between themselves.

We may update these Terms to reflect changes to the platform, security requirements, legal obligations or commercial operations.

Updated Terms will be published on this page with a revised effective date. Where appropriate, registered users may receive additional notice of material changes.
